By accessing or using Nullset ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We reserve the right to modify these Terms at any time, and your continued use constitutes acceptance of any changes.

2. Description of Service

Nullset is an AI-powered learning platform that provides:

• Automated course generation from uploaded materials
• AI-generated educational videos and animations
• Interactive quizzes and assessments
• AI tutor for personalized learning assistance
• Progress tracking and analytics
• Document processing and knowledge extraction

The Service is provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any part of the Service at any time.

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 13 years old to use Nullset. Users under 18 should have parental or guardian consent. By creating an account, you represent that you meet these requirements.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Providing accurate and up-to-date information

You may not share your account with others or create multiple accounts to circumvent usage limits.

4. Subscription Plans and Billing

4.1 Free and Pro Plans

Nullset offers both Free and Pro subscription tiers:

• Free: Limited monthly generations and basic features
• Pro Monthly: Unlimited access billed at $9.95/month
• Pro Yearly: Unlimited access billed at $100/year ($8.33/month)

4.2 Payment and Renewal

• Pro subscriptions automatically renew unless canceled before the renewal date
• Payment is processed securely through Stripe
• You authorize us to charge your payment method for all fees incurred
• All fees are non-refundable except as required by law
• We reserve the right to change pricing with 30 days’ notice

4.3 Cancellation

You may cancel your Pro subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain Pro access until then, but no refund will be issued for unused time.

5. Usage Limits and Fair Use

5.1 Rate Limits

To ensure fair access for all users, we implement rate limits:

• Free users: 30 video generations and 3 course generations per month
• Pro users: Unlimited with reasonable use limits to prevent abuse
• Rate limits may be adjusted based on system capacity and abuse prevention

5.2 Prohibited Activities

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to bypass rate limits or access restrictions
• Reverse engineer, decompile, or attempt to extract our AI models
• Use automated tools (bots, scrapers) without written permission
• Upload malicious files, viruses, or harmful content
• Impersonate others or provide false information
• Resell or redistribute our services without authorization
• Generate content that violates third-party intellectual property rights
• Create content that is hateful, abusive, or promotes violence

6. User Content and Intellectual Property

6.1 Your Content

You retain ownership of all materials you upload to Nullset. By uploading content, you grant us a limited license to:

• Process your content to provide the Service (generate courses, videos, etc.)
• Store your content on our secure infrastructure
• Use anonymized and aggregated data to improve our AI models

You represent that you have all necessary rights to upload your content and that it does not violate any third-party rights or laws.

6.2 AI-Generated Content

Content generated by our AI (courses, videos, quizzes) is provided to you under a personal, non-exclusive, non-transferable license. You may use AI-generated content for your personal learning or educational purposes. Commercial use requires explicit written permission.

6.3 Our Intellectual Property

The Nullset platform, including its design, code, AI models, algorithms, and branding, is our exclusive property and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works without permission.

7. AI-Generated Content Disclaimer

Nullset uses artificial intelligence to generate educational content. While we strive for accuracy:

• AI-generated content may contain errors or inaccuracies
• You should verify important information from authoritative sources
• We are not responsible for decisions made based on AI-generated content
• AI responses do not constitute professional advice (legal, medical, financial, etc.)
• The AI tutor is for educational assistance only, not a replacement for human instruction

Always use critical thinking when reviewing AI-generated educational materials.

8. Privacy and Data Protection

Your use of Nullset is also governed by our Privacy Policy, which explains how we collect, use, and protect your data. By using the Service, you consent to our data practices as described in the Privacy Policy. Key points include:

• We encrypt your uploaded files and personal data
• We do not sell your personal information to third parties
• You can delete your account and data at any time
• We use trusted third-party AI providers under strict data protection agreements

9. Termination and Suspension

9.1 Your Rights

You may terminate your account at any time by deleting it from your account settings. Upon termination, your data will be deleted in accordance with our Privacy Policy.

9.2 Our Rights

We reserve the right to suspend or terminate your account if:

• You violate these Terms or our Privacy Policy
• Your account is used for fraudulent or illegal activities
• You abuse the Service or engage in prohibited activities
• Your payment method fails or you have outstanding fees

10. Disclaimers and Limitations of Liability

10.1 Service Availability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee uninterrupted, error-free, or secure access. We may suspend the Service for maintenance, updates, or emergencies.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Nullset IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE PAST 12 MONTHS
• WE ARE NOT RESPONSIBLE FOR DATA LOSS, BUSINESS INTERRUPTION, OR LOST PROFITS
• WE ARE NOT LIABLE FOR THIRD-PARTY ACTIONS OR CONTENT

Some jurisdictions do not allow certain liability limitations, so these may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Nullset, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) content you upload or generate.

12. Third-Party Services

Nullset integrates with third-party services:

• Authentication: Clerk
• Payments: Stripe
• Storage: Cloudflare R2
• AI Models: OpenAI, Anthropic, Google, and others

Your use of these services is subject to their respective terms and policies. We are not responsible for third-party service failures or changes.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, please contact us at support@nullset.app to resolve the issue informally. Most concerns can be resolved quickly through communication.

13.2 Arbitration

Any disputes not resolved informally shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration will take place in the United States. You waive your right to a jury trial and class action lawsuits.

13.3 Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles.

14. Changes to Terms

We may update these Terms from time to time. Significant changes will be communicated via email or a notice on the platform. Your continued use after changes take effect constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service and may close your account.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nullset.

15.2 Severability

If any provision is found unenforceable, the remaining provisions will remain in full effect.

15.3 Waiver

Our failure to enforce any right does not waive that right.

15.4 Assignment

You may not assign these Terms without our written consent. We may assign our rights to any affiliate or successor.
